(i) the Company had withheld material adverse facts about the data from the sabizabulin Phase 3 trial and the Company’s interactions with the United States Food and Drug Administration;

(ii) Defendants deceived Veru’s stockholders into thinking that the data from the Phase 3 trial for sabizabulin was adequate to justify an Emergency Use Authorization (“EUA”) and even the submission of a New Drug Application without any more research; and

(iii) The genuine risks that Veru faced in getting its EUA request approved were not disclosed in the Company’s filings.
