According to the ENOB action, the defendants throughout the Class Period made false and/or misleading representations and/or failed to disclose the following:

(i) Gumrukcu lacked a valid medical license and any post-high school credentials;

(ii) Consequently, the alleged invention of Gumrukcu’s scientific and technological foundations for Enochian’s product pipeline was at best questionable;

(iii) Consequently, the Defendants had greatly exaggerated the commercial potential of the Company’s product pipeline;

(iv) Senior leadership of Enochian was aware of Gumrukcu’s criminal background, which includes fraud;

(v) As a result, Enochian’s reliance on Gumrukcu as well as its consulting and licensing agreements with G-Tech and SRI increased the possibility of the Company suffering financial and reputational harm and posed a threat to the objectivity of its scientific conclusions;

(vi) Therefore, at all material times, the Company’s public statements were materially false and misleading.
