According to the CORZ lawsuit, throughout the Class Period defendants made false and/or misleading statements and/or failed to disclose that:

(i) The Company was suffering rising electricity expenses as a result of, among other things, the termination of a beneficial price agreement;

(ii) The Company was dealing with rising electricity expenses, partly as a result of the expiration of a beneficial price agreement;

(iii) According to its contract, the Company was not giving Celsius Network LLC (“Celsius”) hosting services;

(iv) Celsius was subjected to an improper surcharge put in place by the Company to cover power costs;

(v) The Company was reasonably likely to be liable to defend itself against Celsius because to the aforementioned alleged contract violations;

(vi) The Company’s profitability would suffer as a result of the aforementioned;

(vii) Therefore, there was probably serious uncertainty over the Company’s ability to remain a continuing concern; and

(viii) Due to the aforementioned, the defendant’s optimistic claims regarding the Company’s operations, business, and prospects were either substantially false or lacked a solid foundation.
